It looks like the FT articles about Rocket Internet in the past few months have been the outcome of Samwer’s PR agency…having said this, below are a few points for thought

-All ventures are created using a complex system of shell companies. This is a fact and very easy to verify

-The purpose of such structure is threefold: record fictitious sales and expenses to avoid German taxes, multiply the number of “consultancy contracts” that the ventures need to pay to Rocket holding and hide cash outflows from the ventures

-The ventures are actually companies without strategy, without sustainable growth, loss making

-Thanks to consultancy contracts and other tricks, the brothers are able to return from their investment in each venture within 2 years, leaving the entire loss to other investors

-KPIs and financials are manipulated and sometimes totally made up. The IT system is unable to provide reliable data and investors simply cannot audit the numbers

If anybody is interested, I’m happy to give more details.

In summary, the brothers did a wonderful job in raising funds and an even better job in creating a big machine with nothing underneath and keeping a cut of the funds for themselves instead of using it for developing the business. But, after all, isn’t it what a large number of ventures founders do these days? Set up a boring online business, make a fancy website and good marketing materials and raise funds to pay their salary for a few months or (if lucky) for a few years? Rocket just did it in a bigger way, fooling tax authorities too
If you want to replicate a big success in Brazil, it will be as hard as the same to replicate it in all European countries, but in this case with 1/8 of population and the majority of the persons DO NOT own or WILL NOT use a credit/debit card to buy online! They will prefer to research online and then buy offline.
Many if not most, USA, Canada or European businesses models are unfeasible in Latin American countries! Perhaps the same situation for Africa, Russia or even Australia.(transportation costs could be 10 times bigger than Europe)

But what will happen if  those companies never reach the break-even, if their EBITDAs  are always negative???

A Journalist from the Wall Street Journal, talking about the "famous Samwer bros. clone empire", asked me: "I am not quite sure what you’re referring to when you say it is all just a ponzi scheme and the Samwers are committing a crime. Start-up companies in general aren’t profitable but hope to be at one stage."
I replied: That is exactly the problem. Their start-up companies are not designed to be profitable, and as they are copycats of U.S. companies, the main purpose is to be sold to the original company they had copycatted OR if they fail to do so, to plan the IPO in order to recover the money they had invested!.
They always make unrealistic projections of sales: "For the Brazilian Amazon clone Linio the Samwers offer a return of 12 percent in 2017. The Amazon model generates 1.1 percent."

As for the young Latin American Amazon clone, Linio, 2017 is set to be a good year – with estimated revenues of €281m, the Samwers claim that the return on sales will be an impressive 12%. This is a clear sign of the Samwers’ huge and rather unrealistic ambitions: by comparison, the company’s US original, Amazon, makes just over 1% in returns.

Berlin-based online fashion retailer Zalando has been forced to defend working practices in its logistics centre after it was targeted in an investigation by German TV station RTL that aired on Monday night.

I hope someone can investigate further Samwer Brothers, Rocket Internet GmbH. and all cloned companies of them. It seems nobody can post a negative opinion of them, nobody can say they could be behaving badly, because they send lawyers with legal letters accusing of slander and defamation.

I suspect some Journalists have a legal muzzle, they can not investigate or write articles any more, they had been threatened by Samwers' lawyers.

I also suspect no one of the cloned companies by Samwer Bros. are really profitable or sustainable for the next 5 years, to until 2019 at least; and as they will not be able to sell to the original company they had copycatted, as they failed to sell Affinitas GmbH. to eHarmony Inc. last March 2012 and as the Management Team can not innovate in nothing because they are not entrepreneurs, they will collapse. All cloned companies seem like bubbles.

Some Journalists suggest now all Rocket Internet clone empire is only a big PONZI schema.
